Please read these Terms of Service carefully before downloading or using ClawPad. By downloading, installing, or using ClawPad, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms are a legal agreement between you and GCB Technology Private Limited (Singapore).

By downloading, installing, accessing, or using ClawPad ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not download, install, or use the Software.

2. Description of Service

ClawPad is a desktop application that provides:

  • A user interface for interacting with AI language models
  • Integration with OpenClaw Gateway for unified AI memory
  • Project and conversation management features
  • File attachment and organization capabilities
  • Multiple theme options for personalization

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use ClawPad at no license fee:

  • Download and install the Software on devices you own or control
  • Use the Software for personal, business, and commercial purposes, including Remote API usage
  • Make backup copies of the Software for archival purposes

3.1 Pricing Clarification

ClawPad usage is free. There are no ClawPad subscription fees for desktop features or Remote API features. You are only responsible for third-party service charges that you independently choose to use (for example, external model provider API charges).

4. Restrictions

You may NOT:

  • Modify, reverse engineer, decompile, or disassemble the Software
  • Rent, lease, lend, sell, or sublicense the Software
  • Use the Software to develop a competing product
  • Remove or alter any proprietary notices or labels
  • Use the Software for any illegal or unauthorized purpose
  • Circumvent any technical limitations or security measures

5. Third-Party Services

5.1 AI Providers

ClawPad integrates with third-party AI services including but not limited to:

  • Anthropic (Claude)
  • OpenAI (GPT models)
  • Google (Gemini)

Your use of these services is subject to their respective terms of service and usage policies. You are responsible for:

  • Obtaining and maintaining valid API keys
  • Complying with each provider's terms and acceptable use policies
  • Any charges incurred from API usage

5.2 OpenClaw Gateway

ClawPad may install and configure OpenClaw Gateway software. The use of OpenClaw is subject to its own terms and conditions.

6. Your Responsibilities

You are responsible for:

  • Maintaining the security of your API keys and credentials
  • All content you submit through the Software
  • Ensuring your use complies with applicable laws
  • Backing up your local data
  • Any costs associated with third-party API usage

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that:

  • The Software will meet your requirements
  • The Software will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Software will be accurate or reliable
  • Any errors in the Software will be corrected

8. AI-Generated Content

You acknowledge and agree that:

  • AI-generated responses may contain errors, inaccuracies, or inappropriate content
  • You should not rely on AI responses for medical, legal, financial, or other professional advice
  • You are responsible for reviewing and verifying any AI-generated content before use
  • AI responses do not represent the views or opinions of ClawPad

9. Limitation of Liability

IN NO EVENT SHALL CLAWPAD, ITS DEVELOPERS, CONTRIBUTORS, OR DISTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or use
  • Business interruption
  • Procurement of substitute goods or services

WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless ClawPad and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Software
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit through the Software

11. Updates and Changes

We may:

  • Release updates, patches, or new versions of the Software
  • Modify or discontinue features without notice
  • Change these Terms at any time

Continued use of the Software after changes constitutes acceptance of the modified Terms.

12. Termination

These Terms are effective until terminated. Your rights under these Terms will terminate automatically without notice if you fail to comply with any term. Upon termination:

  • You must cease all use of the Software
  • You must delete all copies of the Software
  • Sections 7, 8, 9, 10, and 14 survive termination

13. Export Compliance

You agree to comply with all applicable export laws and regulations. You may not download or use the Software if you are:

  • Located in a country subject to U.S. embargo
  • On any U.S. government restricted parties list

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or the Software shall be resolved through:

  1. Good faith negotiations between the parties
  2. If negotiations fail, binding arbitration under the rules of the American Arbitration Association

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and ClawPad regarding the Software and supersede all prior agreements and understandings.
